Filings
The terms in full: how a seat is taken, how the pot is divided, when shares come back, and which contracts hold them.
How this works
Tender
Put shares on deposit. Add more any time. They accumulate: tender 1,000 now and 1,000 later, the register reads 2,000.
Take a seat
The five largest tenders hold the seats. Any amount may be tendered. Holding a seat is a result, not a requirement.
Collect
When the group has stood unchanged for three rounds, those five split the pot in proportion to what each tendered.
Every share comes back, seat or no seat.
Conditions
- Shares may be tendered at any time, in any amount. Tenders accumulate.
- The five largest tenders hold the seats. There is no minimum bid.
- Five seats must fill by the close of the first round, two hours from commencement. If they do not, the offer lapses: nobody collects and every tender is returned.
- The offer runs in rounds of two hours. At the close of each round the group is recorded: five addresses, in rank. A round in which neither the members nor their order changed counts as unchanged. A member raising their own tender without changing rank does not change the group.
- Unchanged for three consecutive rounds, the offer closes and the pot is split by proration: each seat takes the share its tender represents. Any change resets the count.
- No tender may be withdrawn before the offer ends, seat or no seat. After it closes, shares release over three days. After it lapses, at once.
Consideration
The pot is a holding of Robinhood Chain stock tokens, bought with the trading fees of $HOSTILE. It grows while the token trades and nothing leaves it except through this offer.
You do not need to outbid the first seat. A tender of 100 against a group total of 1,250 takes 8 percent: on a pot of 12,000 shares, that is 960 shares.
Illustrative split, at a full group
Withdrawal Rights
You get back the same number of shares. Not the same amount of money.
From the moment you tender until the offer ends, you cannot sell. The price does what it does and you watch it. That is the whole cost: not a fee, not your principal, but the right to sell at a time of your choosing.
The opening can also come to nothing. If five seats have not filled by the first close, the offer lapses and your shares are returned untouched, but the time they sat there was spent for nothing.

- The depositary has no owner, cannot be upgraded and cannot be paused. Once three rounds pass unchanged, or the first round closes short, any holder may call the expiration.
- The pot is deposited by hand. An operator claims the creator fees off chain, converts them and deposits them here. This is the one centralised step. What is deposited cannot be taken out again, except from a lapsed offer, to fund the next one. Once an offer closes that path is shut.
- Shares are issued through Pons V2, whose factory does have an owner. We do not control it and make no claim that the whole path is ownerless.
- Stock tokens are instruments of economic exposure. Holders do not own the underlying shares and hold no shareholder rights. Nothing here is advice and no return is promised.
